1. Agreement to Terms

By accessing or using the services provided by Betasquirrel Innovation Labs (FZE) ("we," "our," or "us"), including our website, software applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

We provide software-as-a-service (SaaS) solutions, including but not limited to therapy center management platforms, custom software development, ERP and CRM systems, and related digital transformation services. We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

3. User Accounts

3.1 Account Registration

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason we deem necessary to protect our Services or other users.

4. Subscription and Payment

4.1 Subscription Plans

Our Services are offered on a subscription basis with various pricing plans. Subscription fees are billed in advance on a monthly or annual basis, as selected by you.

4.2 Payment Terms

• You agree to pay all fees associated with your subscription
• Fees are non-refundable except as required by law or as explicitly stated in our refund policy
• We reserve the right to change our pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account

4.3 Free Trial

We may offer free trial periods. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

5. Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Transmit any viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble any part of our Services
• Use automated systems to access the Services without permission
• Share your account credentials with others

6. Intellectual Property

6.1 Our Rights

All content, features, and functionality of our Services, including but not limited to software, text, graphics, logos, and designs, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you upload or create using our Services. By using our Services, you grant us a license to use, store, and process your content solely for the purpose of providing the Services to you.

7. Data and Privacy

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using our Services, you consent to the collection and use of information as described in our Privacy Policy.

8. Service Availability

We strive to provide reliable Services but do not guarantee that our Services will be available 100% of the time. We may experience downtime for maintenance, updates, or unforeseen circumstances. We are not liable for any damages resulting from Service unavailability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Betasquirrel Innovation Labs (FZE) and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

11. Termination

You may cancel your subscription at any time. We may terminate or suspend your access to the Services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Services will cease, and we may delete your account and data.

12. Governing Law and UAE Compliance

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE), without regard to its conflict of law provisions. These Terms are subject to and compliant with applicable UAE laws and regulations, including but not limited to:

• UAE Federal Law No. 2 of 2019 on the Use of Information and Communication Technology in Health Fields
• UAE Federal Law No. 5 of 2012 on Combating Cybercrimes
• UAE Federal Law No. 45 of 2021 on Personal Data Protection
• Dubai International Financial Centre (DIFC) Data Protection Law (if applicable)
• Any other applicable UAE federal and emirate-level regulations

We are committed to full compliance with UAE data protection, privacy, and cybersecurity laws. In the event of any conflict between these Terms and applicable UAE laws, UAE laws shall prevail to the extent required by law.

13. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts in the United Arab Emirates (UAE).

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
